FREELANCER AGREEMENT: BUSYBEE DEVELOPMENT

This is the comprehensive contract between BusyBee and the Contractors.

1. INDEPENDENT CONTRACTOR STATUS

You acknowledge that you are an independent contractor and not an employee, agent, or partner of BusyBee. You are solely responsible for all taxes, social security contributions, and insurance related to your earnings. You are not eligible for any employee benefits provided by BusyBee.

2. THE 100% PAYOUT GUARANTEE

BusyBee is a 100% payout platform. We do not deduct any platform commissions or "service fees" from the project price agreed upon between you and the Client.

  • Payment Processing: While BusyBee takes 0%, you acknowledge that third-party payment processors (e.g., Stripe, PayPal) apply their own standard transaction fees (typically 2.9% + $0.30).

3. SCOPE OF SERVICES & REVISIONS

  • Defined Scope: You are only required to perform work outlined in the "Project Brief."

  • Revision Limit: Each milestone includes a maximum of two (2) rounds of minor revisions. Additional revisions may be billed at your standard hourly rate.

  • Scope Creep: Any requests for features or services not explicitly listed in the Project Brief require a separate fee agreement before work begins.

4. FEES, ESCROW, AND PAYMENT TIMING

  • Milestone Protection: Funds are held in a secure BusyBee escrow account for each milestone.

  • Release of Funds: Once a milestone is approved by the Client, the full amount is released to your account according to the platform's standard processing schedule.

5. CANCELLATION & "KILL FEES"

If a Client cancels a project after work has commenced, you are entitled to a "Kill Fee" equal to the value of the current active milestone or 25% of the total project value (whichever is greater) to compensate for time and resources allocated.

6. INTELLECTUAL PROPERTY & OWNERSHIP

  • Transfer of Rights: All work product created for a project is considered "work made for hire." Ownership transfers to the Client only upon full payment of the final milestone.

  • Pre-existing Material: You retain ownership of any pre-existing tools or materials used, granting a non-exclusive license for their use in the final deliverable.

7. CONFIDENTIALITY & DATA PROTECTION

You agree to keep all non-public information regarding BusyBee, its clients, and the projects strictly confidential. You must handle any personal data provided by clients in accordance with BusyBee’s Privacy Policy.

8. REPRESENTATIONS AND WARRANTIES

You warrant that your work is original and does not infringe upon the intellectual property rights of any third party. You agree not to bypass the BusyBee platform to solicit direct payments from clients introduced through the Service.

9. TERMINATION

BusyBee may terminate this Agreement or your access to the platform at any time for breach of terms. You may stop using the platform at any time, provided all active and accepted projects are completed or settled via a Kill Fee.

10. GOVERNING LAW & DISPUTES

This Agreement is governed by the laws of the jurisdiction where BusyBee is incorporated. In the event of a dispute, BusyBee provides a neutral mediation period before legal action is pursued.
